Terms of Service

1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between Legacy Wire (“Legacy Wire,” “we,” “us,” or “our”) and any distributor, company, or individual (“Client” or “you”) who accesses our website, requests a quote, places an order, or engages our services in any capacity. By doing any of the foregoing, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.
If you do not agree to these Terms, you must discontinue use of our website and services immediately.
2. Services
2.1 Scope of Services
Legacy Wire provides comprehensive supply and shipping services for businesses across all industries. Our services may include, but are not limited to:
• Supply of aluminum SER/SEU, XHHW-2, URD, CIC, and MHF wire products
• Custom order fulfillment based on distributor specifications and volume requirements
• Product quality control and compliance verification against applicable ASTM, UL, and ICEA standards
• Nationwide shipping and logistics coordination from our Dallas, TX warehouse facility
• Order processing, invoicing, and account management support
• Technical product support and specification assistance for distributor sales teams
• New account onboarding and relationship management
The specific products, pricing, order quantities, delivery timelines, and terms for each engagement will be set forth in a separate service agreement, purchase order, or written confirmation (collectively, “Service Order”) between Legacy Wire and the Distributor.
2.2 Distributor-Only Sales
Legacy Wire sells exclusively to licensed electrical distributors. We do not sell directly to contractors, electricians, end users, or the general public. By placing an order or entering into a Service Order with Legacy Wire, you represent and warrant that you are a licensed electrical distributor authorized to purchase and resell electrical wire products in your jurisdiction.
2.3 Service Modifications
Legacy Wire reserves the right to modify, expand, or discontinue any product or service offering at any time without prior notice. Any such changes will not affect Service Orders already confirmed in writing prior to the modification.
3. Orders and Pricing
3.1 Order Placement
All orders must be placed in accordance with Legacy Wire’s order process as communicated to the Client by Legacy Wire’s account management team. Orders are not binding until confirmed in writing by Legacy Wire via a Service Order, purchase order acknowledgment, or equivalent written confirmation.
3.2 Pricing
All pricing is quoted in U.S. dollars and is subject to change without notice until confirmed in writing in a Service Order. Quoted prices do not include applicable taxes, freight, shipping, or handling charges unless explicitly stated otherwise in the Service Order.
3.3 Minimum Order Requirements
Legacy Wire may impose minimum order quantities or minimum order values at its discretion. Any applicable minimums will be communicated to the Client at the time of quoting or account setup.
3.4 Taxes
The Client is responsible for all applicable federal, state, and local taxes, duties, and fees associated with the purchase and resale of Legacy Wire products. Legacy Wire will collect applicable sales tax where required by law unless the Client provides a valid tax exemption certificate prior to order confirmation.
4. Payment Terms
4.1 Payment Schedule
Payment terms will be specified in each Service Order. Unless otherwise agreed in writing, payment is due within thirty (30) days of the invoice date (Net 30).
4.2 Late Payments
Invoices not paid by the due date may be subject to a late payment fee of 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower, calculated from the due date until the date of full payment.
4.3 Disputed Invoices
If the Client disputes any portion of an invoice, the Client must notify Legacy Wire in writing within ten (10) business days of the invoice date, specifying the nature of the dispute in reasonable detail. Undisputed portions of the invoice remain due and payable by the original due date.
4.4 Suspension of Services
Legacy Wire reserves the right to suspend or cancel pending orders for any Client with a past-due balance until such balance is paid in full.
5. Shipping and Delivery
5.1 Shipping Terms
Unless otherwise specified in the Service Order, all shipments are made FOB (Free on Board) from Legacy Wire’s Dallas, TX facility. Risk of loss and title to products transfer to the Client upon delivery to the carrier at Legacy Wire’s facility.
5.2 Delivery Estimates
Any delivery timelines or estimated ship dates provided by Legacy Wire are estimates only and are not guaranteed. Legacy Wire will make reasonable efforts to meet stated timelines but shall not be liable for delays caused by manufacturing capacity, material availability, carrier delays, weather, force majeure events, or other circumstances beyond its reasonable control.
5.3 Shipping Costs
Unless otherwise agreed in writing, shipping, freight, and handling costs are the responsibility of the Client and will be invoiced separately or included in the Service Order.
5.4 Inspection Upon Receipt
The Client is responsible for inspecting all products upon receipt. Any visible damage, shortages, or discrepancies must be reported to Legacy Wire in writing within five (5) business days of delivery. Failure to notify Legacy Wire within this period may limit the Client’s ability to make a claim.
6. Returns and Claims
6.1 Return Policy
Legacy Wire does not accept returns of products that have been correctly manufactured to specification and delivered without damage or defect. Returns will only be considered in cases of manufacturing defect, non-conformance to agreed specifications, or shipping damage reported in accordance with Section 5.4.
6.2 Return Authorization
All returns require prior written authorization from Legacy Wire. Unauthorized returns will not be accepted and may be returned to the Client at the Client’s expense.
6.3 Defective Products
In the event of a confirmed manufacturing defect or specification non-conformance, Legacy Wire’s sole obligation shall be, at its discretion, to replace the defective product or issue a credit toward future orders. Legacy Wire shall not be liable for any costs, damages, or losses arising from the installation, use, or resale of defective products beyond this remedy.
7. Product Standards and Compliance
7.1 Standards Compliance
Legacy Wire manufactures its products in accordance with applicable industry standards including, where applicable, ASTM, UL, and ICEA specifications. Specific standards applicable to each product are identified in Legacy Wire’s product documentation and website.
7.2 Client Responsibility
The Client is solely responsible for ensuring that the products ordered are appropriate for their intended application and comply with all applicable local, state, and federal codes, regulations, and installation requirements, including the National Electrical Code (NEC). Legacy Wire makes no representation that its products are suitable for any specific application beyond their published ratings and specifications.
8. Intellectual Property
8.1 Ownership
All content on the Legacy Wire website, including but not limited to text, product descriptions, technical specifications, graphics, logos, and imagery, is the exclusive property of Legacy Wire or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.
8.2 Limited License
Legacy Wire grants the Client a limited, non-exclusive, non-transferable license to access and use the Legacy Wire website and its content solely for the purpose of evaluating and purchasing Legacy Wire products. This license does not permit reproduction, distribution, modification, or commercial use of any website content without Legacy Wire’s prior written consent.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information disclosed in connection with their business relationship, including but not limited to pricing, product specifications, order volumes, and business terms. Neither party shall disclose such information to third parties without the prior written consent of the disclosing party, except as required by law.
10. Limitation of Liability
10.1 Disclaimer of Warranties
Legacy Wire’s products are provided in accordance with their published specifications and applicable industry standards. To the fullest extent permitted by applicable law, Legacy Wire disclaims all other warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10.2 Limitation of Damages
To the fullest extent permitted by applicable law, Legacy Wire’s total liability to the Client for any claim arising out of or related to these Terms or any Service Order shall not exceed the total amount paid by the Client to Legacy Wire in the three (3) months preceding the claim.
10.3 Exclusion of Consequential Damages
In no event shall Legacy Wire be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to these Terms, any Service Order, or the use of Legacy Wire’s products, even if Legacy Wire has been advised of the possibility of such damages.
11. Indemnification
The Client agrees to indemnify, defend, and hold harmless Legacy Wire and its officers, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to the Client’s use or resale of Legacy Wire products, the Client’s breach of these Terms, or the Client’s violation of any applicable law or regulation.
12. Force Majeure
Legacy Wire shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, supply chain disruptions, labor disputes, government actions, war, or transportation failures. In such events, Legacy Wire will notify the Client as soon as reasonably practicable and will use commercially reasonable efforts to resume performance.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
13.2 Dispute Resolution
In the event of a dispute arising out of or related to these Terms or any Service Order, the parties agree to first attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the dispute to binding arbitration in Dallas, Texas, in accordance with the rules of the American Arbitration Association.
13.3 Jurisdiction
To the extent that any dispute is not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas.
14. Modifications to These Terms
Legacy Wire reserves the right to update or modify these Terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our website or services following the posting of changes constitutes acceptance of the revised Terms. We encourage Clients to review these Terms periodically.
15. Severability
If any provision of these Terms is found to be invalid, unenforceable, or contrary to applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity or enforceability of the remaining provisions.
16. Entire Agreement
These Terms, together with any applicable Service Order, constitute the entire agreement between Legacy Wire and the Client with respect to the subject matter hereof and supersede all prior agreements, representations, and understandings, whether written or oral, relating to the same subject matter.
